How it works

Three steps. No law degree required.

We took the parts people get stuck on — the registered agent question, the "manager vs. member" box, the annual report nobody warns you about — and made them obvious.

1

Tell us about your business

Answer a short, jargon-free questionnaire. We flag the choices that actually matter for Florida owners and explain each one in a sentence.

2

We prepare & file it

We assemble your Articles of Organization correctly the first time and submit them to the Florida Division of Corporations (Sunbiz) on your behalf.

3

You get your LLC — and a plan

Once the state approves it, you receive your documents plus a clear checklist for your EIN, business bank account, and that all-important annual report.

Why FloridaFormed

Fifty-state services aren't built for Florida. We only do Florida.

Nationwide filing services run one process across fifty states. We built one thing, for one state, and we built it to be correct.

Founded by a former attorney

Created by a former Florida business attorney with two decades in the state and federal courts. The guidance you read was written by someone who actually practiced here.

100% Florida

Every article, every reminder, every answer is Florida-specific. No generic "consult your state's rules" hand-waving that leaves you Googling at midnight.

Honestly priced

You'll see the state's fee and our fee side by side before you pay a cent. No bait pricing, no "registered agent" surprise on renewal.

We keep you compliant

Most owners don't learn about the May 1 annual report until the $400 late penalty has already landed. We track your deadline from day one and remind you well before it, so it doesn't catch you out.

The real costs

What forming a Florida LLC actually costs

Most sites hide this. Here's every dollar Florida charges, straight from the Division of Corporations — so you can see exactly what's a state fee and what's a service.

Florida state chargeAmount
Articles of Organization (filing)$100.00
Registered Agent Designation$25.00
Total to form your LLC$125.00
Annual Report (due by May 1, every year)$138.75
Optional: Certificate of Status$5.00
Optional: Certified Copy$30.00

The one that catches people

Every Florida LLC must file an annual report by May 1 — even if nothing changed. Miss it and the state adds a non-negotiable $400 penalty. Ignore it long enough and, by the fourth Friday in September, Florida can administratively dissolve your company.

We track that date for you from day one, so your LLC stays in good standing without you having to remember a thing.

Florida LLC FAQ

Do I really need a registered agent?

Yes. Florida requires every LLC to name a registered agent with a physical Florida street address to receive legal and state mail. You can be your own, but many owners prefer not to list their home address publicly — we'll walk you through both options.

How long does it take to form an LLC in Florida?

Processing times vary with the Division of Corporations' workload, and online filings are generally handled in the order received. We'll set your expectations honestly based on current turnaround rather than promising a number the state can't guarantee.

How are you different from a national filing service?

We do one state and know it cold. Our guidance was written by a former Florida business attorney, our pricing is shown line by line, and there are no add-ons buried in the checkout. We're a filing service — not a law firm — focused entirely on getting Florida owners set up correctly.

One thing to know up front: your order is prepared, fulfilled and billed by our parent company Filerra, LLC, which is the seller of record. That's why the checkout is branded Filerra — same team, same prices, same phone number.

Will you remind me about the annual report?

Yes. From the moment your LLC is formed we track your May 1 deadline and email you well ahead of it. Your first report is due by May 1 of the year after the year you formed — not in the year you file. With the Compliance service we prepare and file the report for you; Florida's $138.75 fee is a separate state charge, passed through at cost.

Is FloridaFormed a law firm? Can you give me legal advice?

No. FloridaFormed, a Filerra company, is a business filing and information service. We help you prepare and file your own documents and we explain how the process works, but we do not provide legal advice or act as your attorney. For advice about your specific situation, consult a licensed Florida attorney.
