That is $100 reinstatement plus $138.75 per owed report. If your count is off, we correct it before filing and re-issue the invoice — you approve it before a dollar moves.

Why not just form a new LLC instead?

Because reinstatement brings back the same company: original formation date, same document number, unbroken history. That matters more than people expect — for bank accounts already open in the company's name, for contracts and leases signed by it, for licences tied to the entity, and for anyone who ever asks how long you have been in business.

It also protects your name. Once a company is dissolved, the name can become available to somebody else. Every month you wait is a month that risk is live.

What we do

  1. Pull your record. We confirm the exact registered name, document number, dissolution date, and precisely how many reports the state says you owe — this is where owners most often guess wrong.
  2. Fix the registered agent. Florida will not reinstate an LLC without a current agent at a physical Florida street address. An invalid or missing agent is a frequent reason a reinstatement is rejected. If yours has resigned or moved, we sort it in the same filing.
  3. Prepare the package. The reinstatement application plus every delinquent annual report, with current officer, member and address information rather than whatever was last on file.
  4. File and follow it. We submit it to Sunbiz, watch it, and chase it if it stalls.
  5. Confirm in writing. You get the state's confirmation that your active status is restored, and a note of your next annual report deadline.

How long it takes

Your part is about ten minutes. Sunbiz processes reinstatements in the order received and the turnaround varies with their workload — commonly a few business days for an e-filing, longer in busy season. Anyone who promises you a specific number of hours for a state agency's queue is guessing.
