Dissolve a Florida LLC

Stopping work does not close a company. Florida keeps billing you until you file.

$99flat, plus Florida’s $25 fee — $124 all in

Nothing is charged when you order. We check your record first, email an invoice for the exact total, and file the moment it is paid.

Why this filing exists

An LLC is a registration, not an activity. Until you file Articles of Dissolution, Florida’s position is that your company still exists — which means:

A voluntary dissolution ends all of it, cleanly, for $124.

What the $99 covers

When we will tell you not to buy this

Two situations, and we would rather say so than sell you a filing:

The real cost, itemised

LineAmountWho charges it
Articles of Dissolution prepared & filed$99FloridaFormed
Florida dissolution filing fee$25Florida, at cost
Owed annual reports, if any$138.75 eachFlorida, at cost
Typical total, company current$124

For comparison: Bizee charges $149 plus the state fee. InCorp is $99 plus an $18 shipping fee. ZenBusiness and Northwest Registered Agent do not offer dissolutions at all — they will form your company and leave you to close it yourself.

What filing the dissolution does not do

This is a state filing, and it only does state things. Closing a business properly also means:

We send this as a checklist with your stamped dissolution so nothing is left hanging.

Questions

How long does it take?

We prepare and send the filing within one business day of payment — three business hours with priority handling ($49). Florida then processes it at its own pace; dissolutions are a mail filing, so allow several business days plus mail time.

Can I dissolve if the other members disagree?

Whether you have authority to dissolve is governed by your operating agreement and Florida law, not by us. We file at the direction of the person authorised to sign. If there is a dispute, get an attorney before filing — an improperly authorised dissolution is a real problem.

Can I undo a dissolution?

Florida has a Revocation of Dissolution filing, at a $100 state fee, but it is time-limited and fact-specific. Do not file a dissolution as a way of pausing — if you might come back, keep the company current instead.

Official sources

FloridaFormed, a Filerra, LLC company, is a business filing and information service — not a law firm. Nothing here is legal or tax advice. We prepare and file documents at your direction; we do not decide what is right for your situation. State fees are set by Florida and can change — the Sunbiz fee schedule above is authoritative.

Every Florida filing we do

Every price above is our fee plus Florida's own charge, shown separately. Priority handling is $49 on any filing and speeds up our queue, never the state's.
