How to Change Your Florida LLC Address

This one is free. We are not going to sell you a filing for it.

The short answer: Florida lets you change your LLC’s principal office address and mailing address free, on the annual report you already have to file. There is no separate form and no extra state fee. If you can wait for your next report, you are done — the rest of this page is the detail.

The free route: your annual report

Every Florida LLC files an annual report between January 1 and May 1, for a state fee of $138.75. That report is also the state’s address-update mechanism. When you file it, you simply enter the new principal office and mailing address, and the public record updates when the report is accepted.

  1. Find your company. Use the Sunbiz record search and note your document number.
  2. File the annual report on Sunbiz between January 1 and May 1, entering the new addresses in place of the old ones.
  3. Keep the confirmation. The state emails one; save it with your records.

Cost of the address change itself: $0. You are paying the $138.75 you already owed.

When it is not free

Two cases:

The trap: your registered agent address

If you listed yourself as registered agent at your old address, updating your principal office on the annual report is not enough. The agent address is separate, and Florida serves legal process there. Leave a stale agent address on the record and you can miss a lawsuit — the default judgment kind of miss — and eventually lose the company to administrative dissolution for an unreachable agent.

Moving house is the most frequent way this happens. If you are moving, deal with the agent line at the same time as the principal address.

Can I use a PO Box?

For your mailing address, yes. For your principal office and for your registered agent, no — Florida requires a physical street address for both.

I already filed this year’s annual report and then moved. Now what?

You can file an amended annual report, or Articles of Amendment at $25, or wait for next January. If the agent address is affected, do not wait.

Do I have to tell Florida within a certain number of days?

There is no fixed deadline for the principal address, which is why the annual report route works. Your registered agent information is different in practice: the whole point of it is that the state and the courts can reach you, so a wrong agent address is a live risk from the day you move.
