What “foreign” means here

Nothing to do with other countries. In state-filing language, a “foreign” LLC is simply one formed in a different state — a Delaware LLC is foreign in Florida, and so is a Georgia one. Registering it is called foreign qualification, and it grants your existing company authority to transact business in Florida without forming a second company.

Do you actually need it?

Straight answer: we cannot tell you, and nobody selling you a filing should pretend they can. Whether your activity amounts to “transacting business” in Florida is a legal judgement that turns on your specific facts.

What we can tell you is what usually prompts it: an office or premises in Florida, employees based there, a Florida warehouse or inventory, holding Florida real estate for business use, or a licence that requires a registered Florida entity. Purely selling to Florida customers from elsewhere often does not. Should I foreign-qualify or just form a new Florida LLC?

Genuinely depends. Two companies means two sets of filings, two annual reports and a decision about which one holds what — but sometimes that separation is exactly what you want. One registered company is simpler and keeps one balance sheet. This is a question for your attorney or accountant, and we will not push you either way to sell a filing.

My company name is taken in Florida. Now what?

Florida lets a foreign company register under an alternate name for use in Florida. We check availability before filing and walk you through it if it comes up.

How long does it take?

The variable is your home state’s certificate, which can take anywhere from minutes to a couple of weeks depending on the state. Once we have it we file immediately — within three business hours with priority handling ($49) — and Florida then processes at its own pace.

What if I have been doing business in Florida already, unregistered?

Registering now is generally better than not, but there can be consequences for the period you operated without authority, and those are legal and tax questions rather than filing ones. Talk to a Florida attorney before you decide how to handle the back period. We will still file the qualification for you.
