What Florida actually rejects filings for
Sunbiz rejection notices are terse and often unhelpfully generic. In practice the cause is usually one of these:
- The name is not distinguishable. Florida is strict here, and “adding LLC” or changing punctuation is not enough to make a taken name available.
- The registered agent did not sign the acceptance. Florida requires the agent to sign, stating they accept the obligations of the position. A typed name in the wrong box fails.
- The fee was wrong. Wrong amount, wrong payee, or the optional certificate fees left off the total.
- A required signature or date is missing, or the effective date is outside the window Florida permits.
- The name on the form does not match the state’s record — a punctuation difference is enough on an amendment or annual report.
- The cover letter is missing or incomplete. Florida’s mail filings require one, with specific contents.

The fee question, answered honestly
People ask whether they have to pay Florida twice. The answer is: it depends on why it was rejected, and we will not pretend otherwise before we have looked. In some cases the state retains your original fee and applies it to the corrected filing. In others the fee comes back to you and is due again when you refile. Our checkout therefore quotes no state fee up front — we confirm the position on your specific record and re-issue the invoice for your approval before anything is paid.
What we cannot fix
Two honest limits:
- A name that is genuinely taken. If another Florida company holds a name that is not distinguishable from yours, no filing skill makes it available — you need a different name. We will tell you fast, and help you find one that clears.
- A rejection that is really a legal problem. Occasionally a rejection points at something substantive: authority to sign, a disputed membership change, a name that infringes someone’s trademark. That needs an attorney, not a filing service, and we will say so and stop.

How fast can you refile?

Was it my fault?
Often not. Florida’s forms are unforgiving about things no reasonable person would guess, and the rejection notices rarely explain them. That is the whole reason this page exists.
